Terms & Conditions

1. Agreement and Parties

These Terms and Conditions govern the relationship between Younder Bots (OPC) Private Limited ("the Company", CIN: U58201TN2023OPC166310) and clients ("the Customer").

2. Scope of Work

All projects are governed by a Scope of Work document agreed before commencement. Changes to scope require written agreement from both parties.

3. Payment Terms

Payment schedules are defined in the Scope of Work. Invoices are payable within 14 days. Late payments may attract interest.

4. Intellectual Property

Upon full payment, the Customer receives source code and usage rights for their specific implementation, subject to third-party licensing restrictions. The Company retains rights to general methodologies and frameworks.

5. Confidentiality

Both parties agree to keep confidential all proprietary information shared during the engagement for a period of 3 years following termination.

6. Warranties

The Company warrants that deliverables shall materially conform to agreed specifications for 90 days from delivery. Third-party components are subject to their respective warranties.

7. Limitation of Liability

The Company's total liability shall not exceed the amount paid by the Customer for the specific product or service. The Company is not liable for indirect, consequential or incidental damages.

8. Refund Policy

All payments are non-refundable once the project commences, except where the product fails to materially conform to specifications and the Company is unable to resolve critical defects within 60 days.

9. Termination

Either party may terminate with written notice if the other party materially breaches these terms and fails to remedy the breach within 30 days.

10. Dispute Resolution

Disputes shall first be attempted through good-faith negotiation for 30 days, then mediation, then arbitration under the Arbitration and Conciliation Act, 2015, with proceedings in Chennai, Tamil Nadu.

11. Governing Law

This agreement is governed by Indian law. Courts in Chennai, Tamil Nadu have exclusive jurisdiction.
